Association annual owners meeting minutes 03/10 - Notes: The association consists of 4,182 intervals with 890 delinquent accounts. Changed management companies from Wyndham Resort to Trading Places International. This has resulted in a savings of $250,000 per year for the members.

Kenneth Bitner from the firm Terry, Jessop & Bitner in Salt Lake City, Utah introduced a letter of response from the association board of directors to a letter sent to the members of the association from Mr. Mike Muldoon, President of Geo Holiday Club and Starpoint Resort Group on March 8, 2010 concerning certain claims and statements made in an effort to persuade members to sign new proxy forms selecting his candidates Mr. Alan Dickler and Mr. Woody Cary who were not included on the original proxy ballot form delivered to the membership from the association.

(The Secretary ) commented that the reason the board did not renew the marketing agreement with Starpoint and Geo Holiday was because they had obtained ownership of over 570 intervals in the association and they had threatened the board to take over the board if they did not renew the marketing agreement. Also, that with one organization having that many intervals the board felt they should stop giving intervals to them to sell in their club because if they go out of business in the future that would create a serious financial problem for the association.

The board feels they needed to take action to protect the association from that possibility by not giving intervals to Starpoint but to find an alternative to sell intervals as individual weeks and also have the association earn something from it. Mr. Peter Donaldson, legal counsel to Mr. Muldoon and Geo Holiday Club, called a point of order and demanded that his client have equal time to respond to the reported items.

Mr. Mike Muldoon, (Michael J. Muldoon) President of Starpoint Resort Group and Geo Holiday Club, addressed the body of the meeting and explained that he brought Starpoint to the Park Regency eight years earlier and over the time had sold 570 intervals which became a part of the Geo Holiday Club. It was the boards directive and goal and his goal to secure dues paying members and he accomplished that. Geo Holiday pays for 570 interval maintenance fees each year and that is over $1 million in the past few years. This has been a fantastic benefit to the association.

He explained that he could not understand the boards stand on this marketing agreement as it is his goal to help the board foreclose on delinquent accounts which all the members of the association have to cover when they go unpaid in paying higher maintenance fees.

He explained that this board has allowed the reserves to fall in amounts and that they are using reserves to pay operating expenses. He didn’t understand why the board would want to block him from continuing in sales when he has shown he can get delinquent accounts to become dues paying accounts.

He explained that he is not just protecting Geo Holiday but he is protecting the whole membership, all 5,000 owners. He cares deeply about this resort and its success. He explained that he has offered to pay the expense of foreclosure from $500 to $600 per interval to assist the board and association so they could secure ownership of the intervals and pay maintenance fees without cost to the members but the board just quit the marketing agreement.

Dwight Freedline – He is concerned that a owner of so many multiple units could take away his ability to book his own week during peak times.

Doug Wilcox, Vice President of Resort Management for Trading Places International, responded and explained that Geo Holiday does not make bulk reservations in the best times but works very closely with the reservations department to spread their reservations over the year and in the high and prime times they actually own. They are not getting an advantage over the other members.

Park Regency Resort Condos Annual Newsletter 2010

A question that I have been asked several times over the years is, “Will the Park Regency ever be an RCI Gold Crown Resort as it was when first developed in the late 1980s?” The short answer is, “no.” Why?

When Glen Ivy developed the Park Regency, it was the practice of the timeshare developers to purchase an existing apartment building and convert it into timeshares, and that was the case with the Park Regency. Since most all of the timeshare resorts at that time were converted apartment buildings, the Park Regency was considered a Gold Crown Resort. Now, the new timeshare resorts are purpose-built to be timeshares and are much more deluxe than the Park Regency could ever be.

They are also much more expensive to purchase and maintain. But it is the Park Regency’s board of directors (BOD) and the management company’s (Trading Places International) goal to make the Park Regency the best resort that it can be.

Mr. Woody Cary, who is now an elected member on the board of directors for the association, is an employee of The Geo Holiday Club and not an individual owner as a result of this proxy vote collection campaign.

You may have received a March 8th letter from GeoHoliday soliciting your vote for the annual meeting on March 19, 2010. Before considering GeoHoliday’s request, you should understand the context.

The association’s board first contracted with Starpoint Resort Group in 2003 to be its exclusive sales representative, and to market and sell the association’s delinquent intervals to the general public. In 2006, the focus shifted. Starpoint conveyed a number of these delinquent intervals to a multi-location vacation club known as GeoHoliday Club, which Starpoint had developed.

Through this agreement and Starpoint’s promotion of its club directly to the association’s members, GeoHoliday now holds more that 570 intervals. Your board’s concern is the conflict of interest that arises from a single entity promoting its vacation club over the interests of the association’s own resort in Park City.

Although there is nothing in the association’s organizational documents that limits the number of intervals a single owner may hold, our resort is primarily a facility owned by individuals with a primary stake in the building, its location and its amenities.

Your board believes that the operation of our resort should be determined by owners who have that same primary interest, rather than a vacation club catering to multiple facilities. A single member who holds enough intervals to out-vote all other members has a greater ability to control the board and make the association do what is in the best interest of that single member, at the expense of the association and the resort as a whole.

Because of its concern over this conflict of interest, feedback from association members regarding Starpoint’s representations about “owning” or “buying” the entire Park Regency Resort, and the board’s fiduciary duty to find the best terms for marketing delinquent intervals, the board decided not to renew Starpoint’s contract and began to solicit offers from other marketing companies.

The board’s refusal to renew the Starpoint contract while exploring alternatives brought on this current GeoHoliday solicitation.

Geo Holiday Sales Agreement

Mike Muldoon of Geo Holiday was present at the meeting. He was there to secure a renewal of the Affiliation Agreement. Russ Rosander moved to extend the Affiliation Agreement for a period of 13 months to March 1, 2010. Kray Hammond seconded the motion and it was approved by unanimous affirmative vote.

Jeanne Hoffman moved to provide Geo Holiday sales with units for guest minivac’s at a nightly fee of $60.00 per night with a two night minimum during all 12 months of the year. Russ Rosander seconded the motion and it was approved by unanimous affirmative vote.

Russ Rosander moved to provide Geo Holiday sales with use of a remodeled unit subject to availability to use as a unit to show prospective buyers. Kray Hammond seconded the motion and it was approved by unanimous affirmative vote.

Kristee Kilpack moved to approve the Purchase and Sale Agreement and Escrow Instructions for the sale of 41 association intervals subject to inspection and approval by Association legal counsel, Corbridge, Baird and Christensen. Kray seconded the motion and it was approved by unanimous affirmative vote.

Mike Muldoon explained to the board that securing ownership of these intervals now would allow him to also pay the association 2009 maintenance fees in addition to the sales price and reminded the board that all proceeds were committed to be credited toward the special assessment as agreed in the Affiliation Agreement.

SPECIAL MEETING OF THE BOARD OF DIRECTORS - 02/26/09

II. PURPOSE OF MEETING

The meeting was called by members of the Board who wanted to discuss the status of the loan with Community Association Banc. Doug Wilcox had reported to the board that the bank was enforcing another condition to securing the loan which was that no one entity could own more that 10% of the association intervals. Because the Association does own more than 10% the bank invoked this condition and refused to proceed with the loan at this time. This places the completion of a portion of the unit renovation on hold due to lack of funds.

III. TOTAL NUMBER OF OWNED INTERVALS

Doug reported that the association owns 404 intervals at this time and that there are 138 intervals that are slated for deed back to the association for a total of 542. That is 167 intervals over the 10% of 375.

VI. SALE OF INTERVALS

The board asked Trading Places if the sale of intervals to Geo Holiday was going to happen. Doug reported that the agreement for the first 41 is in the attorney’s office for review and that the additional 119 having a title report completed should allow Geo up to 100 good titled intervals to purchase. The association needs to sell 167.

Doug reported that the special offering to the members to buy additional weeks for just the maintenance fee amount as the purchase price and the special assessment has been sent out and should be received by members this weekend. That may result in many sales.

Doug Wilcox reported that Geo Holiday, Mike Muldoon said he would be willing to purchase studio units from the association and assist the board in reducing the number of intervals owned by the association.

The board asked Trading Places also to proceed with completion of the Geo Holiday purchase of intervals as quickly as possible and to identify the studio intervals he could purchase now.

Owner's Journal 2010

The association has approximately 12% of its members who are delinquent in the payment of their 2010 maintenance fees and special assessment fees. Of the total $1,832,000 operations budget billed, there is still $237,000 yet unpaid. It is important that you all understand that the board of directors and management work diligently with this group of owners to help them make their payments.

The efforts of the association to secure payment and support from them includes assessing late fees and legal fees, turning accounts over to collection, and eventually the possibility of foreclosure of their ownership. The association also does its best to rent unused intervals from owners who are not current, to mitigate the loss of payment.

VII. CONTINUING BUSINESS

GEO Holiday

Doris Azevedo introduced herself as the GEO Holiday representative and gave a brief overview of her history with the company. Mike Muldoon of GEO Holiday joined via teleconference. Mike informed the Board that if an agreement is signed with GEO Holiday the intent is to buy the Association owned intervals for the purpose of utilizing them to sell their GEO membership club program. Mike informed the Board that although at some locations with a similar agreement they have a GEO sales representative’s onsite, this would not be their intent with the Island Park Village Resort.

The Board discussed the basics of the program with explanations provided by Mike and Doris.

A motion was made by Joyce Foster, seconded by Earl Cluff and approved to ratify the action of the Timbers Condominium Owners Association (TCA) for the IPVA to move forward with contract negotiations with GEO Holiday and to come back to the entire board for final approval of the contract once negotiations are complete.

GEO Holiday Discussion and Handout - Meeting June 27, 2009

GEO Holiday draft contract was distributed to the Board and is to be reviewed; all Directors will give feedback, suggestions etc. to President Gary Lewis. The Board directed management to work with GEO Holiday over the next few weeks to revise the contract to meet IPVA terms for BOD consideration, and to reschedule a presentation from a GEO Holiday representative.

01/10 - Haliburton Heights and Wigamog Inn are not related to each other nor have they ever been. Guests that stay at Haliburton Heights could use the facilities at the Wigamog when available. Due to the closing of the Wigamog Inn, Haliburton Heights is business as usual. Guests that stay at Haliburton Heights can use the pool and gym facilites at the Pinestone Resort. The resort has their own check in facilities and drop in center on site.

The closing of the Wigamog Inn, was beyond Haliburton Heights control and have had no contact with their resort.

I am the property manager for Haliburton Heights, we are business as usual, all Geo Members and incoming guests through RCI are advised of the Wigamog closure and that our guests can use the pool facilities and gym at the Pinestone Resort.

Due to the short notice from the Wigamog, we were able to develop our own check in desk, maintenance and housekeeping departments in a reasonable time.

01/10 - Meanwhile, another business, Haliburton Heights Resort, a shared living development run by GeoHoliday Resorts, haven't reported a drop in their own reservations, in spite of the fact that their guests used to share access to the Wigamog's restaurant, indoor pool, sauna and hot tub. Gaye Tomazic is the manager of Haliburton Heights and she said that as soon as she received word of the closure, she was on the phone to the Pinestone Resort (just five minutes down the road by car) to inquire about a shared facility deal.

"We've set up a pass system with the Pinestone for their indoor pool and gym facilities and our guests have been very happy with the arrangement so far," said Tomazic. "We've had nothing but positive feedback about the Pinestone from our guests and we haven't lost one day of business due to the Wigamog closure."

She said she was also able to hire three of the laid off staffers from the Wigamog, a step that became necessary because Haliburton Heights relied on the Wigamog for maintenance and housekeeping chores.

Tomazic said that she hopes that the new management decides to address the information underload in the near future. She also hopes that they decide the resort is worth saving.

"I hope they decide to sink some money into it and bring it back to its glory days," said Tomazic.

July 26, 2008 - GEO HOLIDAYS !!! So very unhappy with this result. We were called in to a non-descript office in Toronto (of course it was a timeshare sell with Geo-Holidays). We knew it but had some good results in the past with other companies, so in spite of my husband's trepidation we went.

OUR "FREE" holiday, our reward for attending, was to Auberge du Lac Morency, and was NOT FREE. The "contract" stated that we would only have to pay the GST which we remitted upon booking in Feb 08. I called 3 times to verify the correct payment as there was a "phrase" in the paperwork indicating a summer surcharge. EACH TIME someone told me "no that was it".

SO off we travelled the 6 hours from Toronto to this 'resort". When we arrived and disputed the "summer surcharge", their response was "Sorry m'am". Before you knew it, OUR FREE TWO NIGHTS STAY COST US $160.

Auberge du Lac Morency is in the middle of the boonies. We were sent up to our "condo" which was a very small 2 bed "motel" like room, WITH NO AIR CONDITIONING!!!!!" We had to walk very far from the area with the swimming pool and beach, up a very steep, heart-attack causing hill.

The beds were so hard I had to see a chiropractor on my way out of town after only 2 nights. There was a dampness to the room. And to cool off, there were 2 rickety wooden windows that you had to lift and then didn't stay up.

The bathroom was less than desirable. If you liked this place, YOU MUST NOT BE USED TO QUALITY ACCOMODATIONS. I WOULD RATE THIS PLACE (low on a scale)
